Terms of Service

Overview

These Terms of Service (these “Terms”), together with any policies referenced herein, govern your access to and use of the website located at dermaclip.com and all related content, features, tools, products, and services made available through it (collectively, the “Services”). The terms “we,” “us,” “our,” and “DermaClip” refer to DermaClip US, LLC. The Services are powered by Shopify, which enables us to provide the Services to you.

Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers, limitations of liability, and the conditions applicable to the purchase of prescription and restricted medical devices.

By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not access or use the Services.

1. Eligibility and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence and that you have the legal authority to enter into these Terms, whether on your own behalf or on behalf of the organization or entity for which you are acting.

To use the Services, including browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your name, email address, billing, payment, shipping, and — where applicable — professional or facility credentialing information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person or entity.

2. Prescription and Restricted Medical Devices

Certain DermaClip products are prescription (Rx) or otherwise restricted medical devices. Federal law restricts these devices to sale by or on the order of a licensed healthcare practitioner, or to facilities and purchasers authorized to obtain them. By placing an order for any prescription or restricted product, you represent and warrant that:

•        you are a licensed healthcare professional, a healthcare facility, an authorized institutional purchaser, an authorized distributor or reseller, or a government or military purchaser, in each case authorized under applicable law to purchase the product;

•        you hold, or are purchasing on behalf of an entity that holds, any license, registration, prescription, or authorization required to obtain and use the product;

•        you will use, dispense, or distribute the product only in accordance with its labeling, instructions for use, and all applicable laws and regulations; and

•        you will, upon request, provide documentation verifying your eligibility and authorization to purchase the product.

We may require completion of a prescription or purchase-authorization process before accepting or fulfilling an order for a restricted product, and we may decline or cancel any order where eligibility cannot be verified to our satisfaction. Restricted products are not offered for sale to the general public for personal or household use.

3. Our Products

We have made every effort to represent our products and services accurately in the Services. However, product appearance, color, and packaging may differ from how they appear on your screen due to your device, settings, and configuration. We do not warrant that the appearance of any product will exactly match what is depicted in the Services.

All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and to limit the quantities of any product offered to any person, facility, geographic region, or jurisdiction on a case-by-case basis. Nothing in the Services constitutes medical advice; product labeling and instructions for use govern clinical use.

4. Orders

When you place an order, you are making an offer to purchase. DermaClip reserves the right to accept or decline any order, in whole or in part, for any reason at its sole discretion. Your order is not accepted until DermaClip confirms acceptance, and we must receive and process payment before an order is accepted. Please review your order carefully before submitting it, as we may be unable to accommodate cancellation requests after an order is accepted.

If we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address, and/or phone number provided at the time of the order. All sales are subject to our Refund Policy.

You represent and warrant that your purchases are for a lawful purpose and that, where the products are prescription or restricted devices, you are authorized to purchase them as described in Section 2. Purchases for resale, distribution, or institutional use are permitted only by authorized distributors, resellers, healthcare facilities, and government or military purchasers, and remain subject to these Terms and any separate written agreement between you and DermaClip. Export of any product must comply with all applicable U.S. export-control and trade laws.

5. Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, or other applicable charges. Prices in the Services may differ from prices offered through distributors, contract vehicles, or other channels.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases, and to promptly update that information as needed so we can complete your transactions and contact you. You represent and warrant that (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the payment method provided; (iii) charges you incur will be honored by your payment provider; and (iv) you will pay all charges you incur at the posted prices, including shipping, handling, and applicable taxes.

6. Shipping and Delivery

All delivery times are estimates only and are not guaranteed. We are not liable for shipping or delivery delays, including those caused by shipping carriers, customs processing, or other events outside our reasonable control. Once we transfer products to the carrier, title and risk of loss pass to you. You are responsible for confirming that you can lawfully receive and store the products at the delivery address provided.

7. Intellectual Property

The Services, including all trademarks, brands, text, displays, images, graphics, video, audio, and the design, selection, and arrangement thereof, are owned by DermaClip, its affiliates, or its licensors and are protected by U.S. and foreign patent, copyright, and other intellectual property laws. These Terms permit you to use the Services only as necessary to evaluate and purchase products for authorized purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent, except as expressly permitted herein.

DermaClip’s names, logos, product and service names, designs, and slogans are trademarks of DermaClip or its affiliates or licensors and may not be used without our prior written permission. Shopify’s name, logo, and marks are trademarks of Shopify. All other marks are the property of their respective owners. All rights not expressly granted are reserved.

8. Optional Tools and Third-Party Links

You may be provided access to third-party tools through the Services that we neither monitor nor control. Such tools are provided “as is” and “as available” without warranties of any kind, and your use of them is at your own risk and subject to the relevant third party’s terms. The Services may also contain links to websites operated by third parties. We are not responsible for the content or accuracy of third-party materials or websites, and we are not liable for any harm related to your use of them. Please review any third party’s policies before transacting with them.

9. Relationship With Shopify

DermaClip is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with DermaClip. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and DermaClip, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with DermaClip.

10. Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge that you have read these policies. Because the Services are hosted by Shopify, Shopify collects and processes information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and other service providers, which may be located in countries other than where you reside, in order to provide services to you.

11. Feedback

If you submit any ideas, suggestions, feedback, reviews, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use. You represent and warrant that you own or have all necessary rights to the Feedback, that you have disclosed any compensation or incentive received in connection with it, and that it complies with these Terms. We are under no obligation to keep Feedback confidential, to compensate you for it, or to respond to it, and we may remove Feedback we determine, in our sole discretion, to be objectionable or unlawful. You are solely responsible for any Feedback you provide and its accuracy.

12. Errors, Inaccuracies, and Omissions

Occasionally, information in the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate, at any time and without prior notice, including after you have submitted your order.

13. Prohibited Uses

You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: for any unlawful or malicious purpose; to violate any applicable law, rule, or regulation; to infringe the intellectual property or other rights of others; to harass, abuse, defame, or harm any person; to transmit false or misleading information; to transmit unsolicited advertising or spam; to impersonate any person or entity; or to engage in conduct that restricts anyone’s use of the Services or that may harm DermaClip, Shopify, or other users.

You further agree not to: upload or transmit viruses or malicious code; reproduce, duplicate, copy, resell, or exploit any portion of the Services; collect or track the personal information of others; spam, phish, or pretext the Services; use any robot, spider, scraper, data-extraction tool, automated process, or AI tool (including agentic AI) to access the Services except as expressly permitted in Section 14; or interfere with, bypass, or circumvent any security, authorization, or robot-exclusion measures we employ. We reserve the right to suspend, disable, or terminate access at any time, without notice, if we determine you have violated any part of these Terms.

14. Agents

14.1  This section (“Agent Terms”) applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. “Agent” means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person’s device, without direct supervision.

14.2  No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in Section 14.4. In addition, no Agent may access, use, or interact with the Services if we have requested that the Agent refrain from doing so.

14.3  We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with the Services.

14.4  Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including “Agent/[agent name]” in the request’s user-agent string; (ii) not conceal or obfuscate that any access or interaction is from an Agent, including by mimicking human behavior or by completing or circumventing CAPTCHAs or other measures intended to distinguish computer use from humans; (iii) respond truthfully to any question or prompt seeking to determine whether interactions are coming from a human or a computer; and (iv) not circumvent or avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

15. Termination

We may terminate these Terms or your access to the Services (or any part thereof) in our sole discretion at any time, without notice, and you will remain liable for all amounts due up to and including the date of termination. The following sections survive termination: Intellectual Property; Feedback; Termination; Disclaimer of Warranties; Limitation of Liability; Indemnification; Severability; Waiver and Entire Agreement; Assignment; Governing Law; Privacy Policy; and any other provisions that by their nature should survive.

16. Disclaimer of Warranties

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance you place on it is strictly at your own risk.

EXCEPT AS EXPRESSLY STATED BY DERMACLIP OR IN APPLICABLE PRODUCT LABELING, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT SHALL DERMACLIP, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

18. Indemnification

You agree to indemnify, defend, and hold harmless DermaClip, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys’ fees, arising out of (1) your breach of these Terms or the documents they incorporate by reference; (2) your violation of any law or the rights of a third party; (3) your access to or use of the Services; or (4) your purchase, handling, use, dispensing, or distribution of any product. We will notify you of any indemnifiable claim, and we may control the defense and settlement of such claim at your expense, including the choice of counsel, provided that we will not settle any claim imposing non-monetary obligations on you without your consent, not to be unreasonably withheld. You will cooperate in the defense of indemnified claims.

19. Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, the unenforceable portion shall be deemed severed, and that determination shall not affect the validity and enforceability of the remaining provisions.

20. Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with any policies or operating rules we post in connection with the Services and any separate written agreement between you and DermaClip, constitute the entire agreement between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements. Any ambiguities in interpretation shall not be construed against the drafting party.

21. Assignment

You may not delegate, transfer, or assign these Terms or any of your rights or obligations under them without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.

22. Governing Law and Venue

These Terms and any separate agreements under which we provide you Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. You and DermaClip consent to the exclusive venue and personal jurisdiction of the state and federal courts located in Harris County, Texas, for any dispute arising out of or relating to these Terms or the Services.

23. Headings

The headings used in these Terms are for convenience only and will not limit or otherwise affect these Terms.

24. Changes to These Terms

You can review the most current version of these Terms at any time on this page. We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check this page periodically for changes. We will notify you of any material changes in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services after changes are posted constitutes acceptance of those changes.
